Sally concentrates her practice in areas relating to compensation and employee benefits issues facing corporate employers, governmental employers and not-for-profit employers. She advises employers and financial institutions on ERISA Title I issues relating to structuring investment products, identifying investment advice issues, adopting appropriate fee arrangements, and assessing the trustee's or service provider's role in the modern financial services industry.

She also works with employers to design and implement qualified plans, welfare plans, fringe benefits and other compensation arrangements, focusing on plan administration, vendor negotiations and compliance initiatives relating to qualified plans and welfare plans. She assists employers in developing compliance protocols for various human resources functions, including COBRA, HIPAA, FMLA, and flex plan administration and ERISA reporting and disclosure requirements.

Sally also serves as an adjunct professor in the Employee Benefits LLM program at the John Marshall Law School in Chicago.

Advice on the legal sufficiency and compliance of welfare plan documents and summary plan descriptions, as well as updated documents as necessary for healthcare reform.

Advice on the redesign and implementation of retiree medical programs. The designs include cost-sharing for current retirees, access-only for future retirees and various funding changes, including health savings accounts and health reimbursement arrangements. Risk assessments are provided regarding potential litigation for various groups affected by the changes.

Advice on whether proposed changes in healthcare plans would violate or compromise “grandfathered” status under PPACA.

Ongoing representation regarding global manufacturer’s qualified and welfare plans, including review of plan operations, compliance reviews, updating documents and addressing claims issues.

Representation on employee benefits issues in acquisition and sale transactions, including due diligence, negotiating the terms of the sale/purchase agreements, and the administration/legal considerations involved with transition and post-closing operations.

Representation to review and analyze operational failures under client retirement programs, including comprehensive risk analysis and outline of correction procedures and submissions under the IRS EPCRS program.

Representation on fiduciary and prohibited transaction issues, missing participant and automatic rollover IRAs services, investment policies and fee arrangements and other service provider issues for financial institutions handling 401(k) plans, 403(b) plans and IRAs.
