Carol is a partner and member of the firm's technology, outsourcing, supply chain management, privacy and private equity practice groups. She advises on a broad range of corporate and transactional matters with a focus on M&A, technology, privacy, data protection, data security, data transfer and inbound investment advisory services. She has substantial experience representing clients in a variety of industries in M&A and technology transactions as well as complex commercial agreements (both revenue generating and supply side), strategic alliances and joint ventures, distribution, agency and franchise arrangements.

Carol routinely structures and negotiates agreements and follow up processes for clients, as well as dealing with funding and regulatory issues. Working with key advisers to automotive manufacturers, a focus of her practice in recent years has been issues arising from EU regulation for motor vehicle distribution. She has advised manufacturers on funding and restructuring initiatives and dealer sponsorship strategies and provides general corporate governance, regulatory, strategic and transactional advice to members of dealer networks.

As well as advising on outsourcing and complex supply chain projects, Carol advises on cross-border technology agreements including licensing, hosting, escrow, maintenance, development and support and on data protection, security and transfer issues arising in such arrangements.

As a key member in the London office of the inbound investment team, Carol has substantial experience in providing entity selection, formation and general corporate advice to clients wishing to establish a presence in the UK advises in connection with their commercial arrangements once established. With access to numerous specialist inbound investment service providers through her contacts in UK and advises regional advisory services, Carol is able to provide clients with support in the establishment of key relationships as part of our inbound investment service.

Carol is also a member of the McGuireWoods Recruiting Committee and serves as the London office chair for the Women's Leadership Forum.

Representation of a major European motor manufacturer on the re-establishment of a sponsored dealer program in the UK; advice on senior and mezzanine funding and security arrangements between the manufacturer and retail banks and with general corporate and strategic development of UK motor dealerships.

Advice on management buyouts for sponsored dealers as part of the sponsored dealer program referred to above.
