Heather counsels clients on a wide range of commercial real estate matters including acquisitions, property development, leasing, and title matters. Heather has advised sellers and purchasers of commercial shopping centers, multi-family developments, office buildings, and investment property. She routinely conducts reviews on title, leases, and other due diligence matters involved in the acquisition and sale of commercial real estate. She assists clients in satisfying pre-closing checklist items, such as the acquisition of tenant SNDA’s (Subordination, Non-disturbance, and Attornment Agreements) and the assignment of vendor contracts and other personal property. Heather can also advise clients on green building practices, including LEED certification, "green leasing," "green financing," and an array of liability related and other legal issues associated with construction contracts for sustainable building.
Heather works regularly with lenders holding security in distressed real estate. As such, she advises special asset managers and various business divisions within national and regional financial institutions and works with special servicers of Commercial Mortgage-Backed (CMBS) loans in the areas of loan restructuring, loan sales and assignments, REO property, foreclosures, and deeds in lieu of foreclosure. She frequently negotiates and prepares loan documents for these transactions and participates in closing these matters.
Heather works closely in connection with other McGuireWoods attorneys in the firm’s corporate, complex commercial litigation, and restructuring and insolvency groups.
Heather is a member of Celebration Church and enjoys involvement in community activities through her son’s elementary school, St. Mark’s Episcopal Day School.
During law school, Heather was involved with the International Commercial Arbitration Moot in Vienna Austria.
