Representation of a multinational industrial conglomerate in more than 40 purported securities class actions in the aftermath of a high-level corporate scandal. The multidistrict litigation involved collection and production of more than 80 million pages of documents and 250 fact and expert depositions. Following settlement of the class actions, the firm effectively defended several consolidated opt-out cases seeking more than a billion dollars from the company. These actions were favorably settled after motion to dismiss briefing was concluded.

Representation of the owner of a steel plant in Sheppey, Kent in defeating an injunction application brought in the London High Court by the landlord of the steel plant site. The injunction was intended to prevent client from selling off at auction certain wheeled assets and equipment that was surplus to its requirements, and the injunction would have caused the client a severe cash flow crisis had it been successful.

Representation of a Fortune 200 bank in the defense of a class action alleging violation of state consumer finance statute and breach of contract based on same violation. Plaintiff alleges that defendant violated Maryland’s Credit Grantor Closed End Credit provisions (“CLEC”) by failing to provide borrowers with the appropriate post-repossession sale notice.

Representation of higher-education institution in a defamation suit. The plaintiff, a former basketball coach, sued for defamation in connection with his separation from the institution. The court dismissed the suit on demurrer. The coach sought an appeal to the Virginia Supreme Court, which denied the writ of appeal.

Pro bono representation of a franchise owner before the Supreme Court of Virginia, winning an appellate argument concerning two issues related to business litigation. The issues on appeal were whether a claim for tortious interference with a contract could be a predicate unlawful act for purposes of pleading a violation of Virginia Code §§ 18.2-499, 500, also known as the Virginia Business Conspiracy Act; and the applicable statute of limitations governing a claim for tortious interference with a contract. The court issued its opinion, siding with McGuireWoods on each of the two issues.

Represented Energy Venture Partners Limited in a substantial, high profile Commercial Court action against Malabu Oil and Gas Limited in relation to a US $1.3 billion transaction concerning one of West Africa's largest offshore oil blocks, including obtaining urgent freezing orders and injunctions before Griffith Williams J and Steel J in July 2011 (2011 Folio No. 792).

Representation of in individual in a suit filed against a securities company in order to recover over $3 million worth of stock stolen our client. Firm obtained a temporary injunction restraining the securities company from using any assets in its accounts. The stock company eventually returned just under $2 million worth of stock. On summary judgment, our client also obtained a $1.3 million judgment.

Three executives of global real estate investment trust

Representation of three executives of global real estate investment trust in securities class action filed in federal court in Virginia, which resulted in  the largest securities class action settlement in Virginia history.  The complaint alleged accounting fraud and asserted claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and under Sections 11 and 15 of the Securities Act of 1933.  Two executives were dismissed from the case after motion to dismiss briefing.  Claims against the remaining executive,  who also was a director, were resolved without our client having to pay any money as part of the settlement.

Representation of president and CEO of public company in class action alleging violations of securities laws and RICO, as well as related individual damage action, SEC enforcement action, and a declaratory judgment proceeding brought by the D&O insurance carrier.

Representation of a major IT company in a shareholder action brought by two hedge funds claiming non-payment of more than $100 million in dividends and redemption payments for preferred shares, and seeking monetary relief along with receivership and dissolution of company. Court dismissed all claims after extensive motions practice and a Maryland 2-502 hearing on the merits, which involved presentation of witnesses and evidence.

Representation of Fortune 200 bank in the defense of a class action alleging violation of state consumer finance statute and breach of contract based on same violation. Plaintiff alleges that defendant violated Maryland’s Credit Grantor Closed End Credit provisions (“CLEC”) by financing non-conforming GAP Agreements with the retail installment sales contract. Plaintiff alleged that the GAP Agreements did not provide, or did not in fact, waive the remaining loan balance on borrowers’ accounts who suffered a total loss. We favorably settled the matter for $3 million dollars after receiving a demand from plaintiff in excess of $30 million.
