Cross-Border Transactions

Cross-border mergers, acquisitions, divestitures, joint ventures and other major transactions are no longer the exclusive province of large, multinational corporations. In our global marketplace — and with technology bringing organizations and individuals closer, in real time — cross-border transactions can be a strategic tool in the pursuit of numerous business objectives.

The international cross-border transactions team at McGuireWoods has represented clients in legal matters in more than 100 countries. We regularly advise U.S.-based companies seeking to expand operations overseas, and we represent foreign corporations and investors seeking business opportunities within the United States and in other countries worldwide. We also work with foreign governments on a range of infrastructure projects and other economic stimulus initiatives.

We have developed a national and international reputation for providing high-quality counsel on worldwide cross-border transactions. McGuireWoods’ corporate and transactional lawyers are located in our offices across the United States and in London and Brussels. From these commercial, financial and legal centers, we have developed active working relationships with local lawyers in every part of the world.

Clients and legal peers alike have recognized our lawyers for the quality of our transactional services. Corporate Counsel magazine listed McGuireWoods among the top 10 “go-to law firms” in the nation, as selected by in-house counsel at the 500 largest U.S. companies. Our corporate and M&A lawyers have been recognized by Chambers Global, while Chambers USA notes that “This group has a stellar reputation for its sophisticated corporate practice” and an “excellent network of offices to act for local and national clients on complex transactions.”

Our services include advising on business issues (including financial and practical operational considerations), providing tax analysis (including both U.S. and international tax planning), drafting and negotiating transactional, financing, joint venture and shareholder agreements), implementing technology exchanges, preparing licenses and obtaining governmental approvals, protecting intellectual property, complying with corporate law and merger requirements, and coordinating with and directing local counsel.

To help clients negotiate the complex maze of national and international regulations and trade agreements that govern cross-border transactions, we work closely with members of the firm's government relations and public affairs subsidiary, McGuireWoods Consulting.
