Affiliations, Mergers, Acquisitions, and Divestitures

We have broad experience and expertise in representing hospitals and other health care institutions in various forms of affiliations, mergers, acquisitions, and divestitures that involve both not-for-profit and for-profit parties. We also have experience in acquiring and divesting physician practices within managed care plans and other health care systems.

Elder Law

The health care team has experience representing all types of providers for elderly patients, including nursing homes, adult care residences, assisted living facilities, and continuing care retirement communities. Members of the elder law group also have experience with living wills, durable medical powers of attorney, and other advance directives. Our elder law team also works regularly with our trusts and estates team.

Managed Care

Our health care team counsels a variety of clients on the formulation, development, and operation of managed care networks, including preferred provider organizations (PPOs), health maintenance organizations (HMOs), management service organizations (MSOs), independent practice associations (IPAs), physician-hospital organizations (PHOs), and other integrated delivery systems. We have particular expertise in regulation, antitrust, ERISA, government-sponsored managed care, business, and litigation issues relevant to managed care plans.

Bankruptcy

Our health care team includes experienced creditor’s rights and bankruptcy lawyers. Our clients include many of the primary lenders in the United States. We often serve as bankruptcy counsel to public and private companies that either file for bankruptcy relief or are considering a consensual resolution of financial issues. We counsel indenture trustees and creditors’ committees and represent clients in the acquisition of assets from companies that are having financial difficulties.

Health Care Contracting and General Representation

Our health care team has extensive experience drafting, negotiating, revising, and interpreting contracts and other documents. We also provide advice regarding transactional matters involving professional corporations, leases, joint ventures, equipment purchases, health insurance, medical devices, partnerships, group practice plans, and preventing corporate practice of medicine violations.
