Mr. Muir's practice focuses on commercial finance transactions, especially asset-based loans, but includes the documentation and negotiation of all types of secured and unsecured loans, lines of credit and working capital loans, mezzanine loans with co-investments and warrants, term B loans, acquisition loans, debtor-in-possession, enterprise value and cash flow loans, syndications and participations.
He also documents loans secured by real estate and real estate ownership interests, and represents lenders in workouts and restructurings. His clients typically include major financial institutions, funds and non-bank lenders.
Specialty collateral situations in Mr. Muir's deals have included loans secured by tenant-in-common interests, government contracts, farm equipment, railroad engines and rolling stock, airplanes, ships, leased ski areas, printing equipment, oil and gas interests, pipeline rights, perishable goods, intellectual property, and pharmaceuticals.
- $350MM syndicated loan to a holding company of a nationally known distributor of shoes and boots that included collateral located in Canada securing guaranties by Canadian subsidiaries of the borrower.
- $200MM syndicated, multi-jurisdictional enterprise value term loan and letter of credit facility secured by a combination of food, auto and international professional sporting enterprises
- $195MM syndicated loan to an automotive and aerospace manufacturer secured by first priority security interests in all personal property, including valuable intellectual property rights, and second priority real estate mortgages on multiple properties.
- $100MM syndicated loan to nationally known glass manufacturer with facilities in the United States and Canada that required extensive analysis of patent litigation against the borrower prior to disbursement.
- $35MM senior, $100MM senior subordinated and $30MM subordinated, syndicated loan transaction to after market supplier of equipment for Harley Davidson motorcycles.
- $770MM loan to an LLC borrower secured by hedge instruments and forward contracts associated with the borrower's long term interest rate hedging strategy.
- $35MM enterprise value line of credit to a consortium of family trusts to provide equity for asset acquisitions secured in part by residual ownership interests in a pool of acquired companies.
- Mezzanine loan to purchaser of California ski resort.
- Real estate loan secured by two Hawaiian shopping centers.
- DIP facility for physicians practice management group.
- Leveraged lease transaction secured by rail cars.
- Workout of troubled credit and Section 363 sale involving a manufacturer of cast undercarriage assemblies for freight cars.
- Presided over senior lender's position in a liquidation of insolvent company that provided tents for upscale events, including the Masters and the Kentucky Derby.
- $500MM short term credit facility secured by ownership interests in a real estate investment trust.
