Mr. Nesbit concentrates his practice on business law, with an emphasis on mergers and acquisitions, private equity, mezzanine finance, private placements and general corporate matters.
Mr. Nesbit is the co-chair of the firm's private equity industry team. He represents private equity funds, investment groups and portfolio companies in all types of private equity transactions including leverage buyouts, control and non-control equity investments, venture capital investments and add-on acquisitions for portfolio companies.
Mr. Nesbit regularly represents clients in connection with mergers and acquisitions, joint ventures, corporate restructurings and reorganizations and other business transactions. He also represents private equity funds in all aspects of fund formation. Many of his private equity clients are small business investment companies (SBICs).

- Represented private equity fund sponsor in connection with sale of automobile finance services company.
- Represented private equity fund in connection with sale of real estate financial services company.
- Represented private equity fund sponsor in connection with purchase of industrial equipment finance company.
- Represented private equity fund sponsor in connection with sale of manufacturer of seamless, rolled rings for the industrial bearings and power generation markets.
- Represented private equity fund sponsor in connection with purchase of automobile finance services company.
- Represented private equity fund sponsor in connection with sale of manufacturer of topical cosmeceutical, over-the-counter and prescription skin care products.
- Represented manufacturing company in connection with leveraged financing including senior debt financing, and sale of preferred stock, subordinated debentures and common stock purchase warrants.
- Represented distribution company in connection with leverage financing including senior debt financing, sale of subordinated debentures and common stock purchase warrants, and conversion of subordinated debt to preferred stock.
- Represented private equity fund sponsor in connection with purchase of manufacturer of topical cosmeceutical, over-the-counter and prescription skin care products.
- Represented private equity fund sponsor in connection with purchase of manufacturer of seamless, rolled rings for the industrial bearings and power generation markets.
- Represented private equity group in connection with purchase of subordinated debentures, common stock purchase warrants and preferred stock of national wholesale distributor of compact utility equipment.
- Represented private equity fund portfolio company in fast food industry in connection with purchase of franchise restaurants.
- Represented mezzanine fund in connection with investment in automobile parts distributor company.
- Represented mezzanine funds in connection with investment in natural foods company.
