Mr. Lamb represents issuers, borrowers, developers, underwriters and lenders in a range of transactions using tax-exempt and commercial debt. He has handled matters in more than 40 states.
He has significant experience handling tax-exempt financing for economic development, solid waste, renewable energy (including biomass and biogas) and energy efficiency projects, and financing structures involving leases, public-private partnerships, new markets tax credits and other federal and state incentives. He represents and negotiates with participants of all types in these transactions, such as local, state and federal governmental issuers and sponsors, banks and financial institutions, lenders and lessors, equity investors, credit enhancers, rating agencies, nonprofit and for profit borrowers, lessees and guarantors, contractors, accountants and technical and feasibility consultants.
Many of the projects he handles are non-rated non-recourse project financings that require equity capital investment and the creation of special purpose governmental and corporate entities as well as negotiation of the agreements to secure the land, revenue, financing and capital for such projects. As a result, he regularly teams with his partners in the tax, energy, real estate and corporate departments and brings a true team approach to his work on behalf of clients.
- Bond, special tax and special corporate counsel for a tax-exempt solid waste bond borrower with more than $2 billion in outstanding fixed and variable rate tax-exempt debt supported by letters of credit and corporate guarantees, including related federal securities reofferings and remarketings, debt restructurings and redemptions, asset divestitures and loan assumptions.
- Bond, borrower's, underwriter's and placement agent's counsel on a variety of tax-exempt exempt facility, industrial and economic development, manufacturing and qualified 501(c)(3) bond issuances, including sewage facility, solid waste disposal, gulf opportunity zone and recovery zone facility bonds, non-recourse financings, and transactions secured by third party credit enhancers, related and unrelated party guarantors, mortgages, leases, project assets and other collateral.
- Lender's, lessor's and bond counsel on issuances of clean renewable energy, qualified school construction bonds, qualified energy conservation bonds, and qualified zone academy bonds for a range of governmental credits and borrowers employing general obligation, moral obligation and gross and net revenue pledges, various subsidies, including state and federal tax credits, grants and direct-payments, and for projects, such as energy efficiency, hydroelectric, anaerobic digestion, open and closed-loop biomass, solar, wind, landfill gas, municipal waste and geothermal.
- Bond counsel on an investment grade rated project finance landfill gas solid waste disposal revenue bond secured solely by the revenues on the facility and other borrower collateral.
- Lessor's counsel on energy efficiency projects throughout the United States using master purchase agreements, guaranteed savings arrangements and other energy service contracts and models.
- Counsel to underwriters, developers, localities, and local and regional authorities on governmental transactions employing special assessment and tax increment financings, with experience in public and private higher education and state level transportation financings.
- Counsel to developers, borrowers, lenders and governmental sponsors in public private partnership financings and new markets tax credit transactions.
