Ms. Mitchell practices within the firm's Tax and Employee Benefits Department. She advises employers on the legal aspects of employee benefit and executive compensation matters arising under ERISA and the Internal Revenue Code.

Ms. Mitchell counsels employers in connection with the design, administration, and regulatory compliance of a wide range of employee benefit programs. She has a background in tax-qualified retirement plans, including 401(k) plans, defined benefit plans, and ESOPs; executive and incentive compensation programs; employee benefit programs for universities, churches, and other tax-exempt organizations, such as 403(b) plans and 457 plans; and group insurance and other health and welfare benefit plans, including healthcare reform, COBRA continuation coverage, and HIPAA compliance. She has designed plans; drafted, reviewed, edited, and ensured compliance with plan documents and amendments; developed compliance programs; drafted communications materials and notices to plan participants; filed voluntary correction program and determination letter applications, and negotiated and drafted service provider contracts and business associate agreements.

Ms. Mitchell also advises and negotiates executive compensation and employee benefits matters relating to mergers and acquisitions and other corporate transactions, including assisting employers with the integration and disposition of plans following such transactions. Such representations have included stock transactions, asset acquisitions, and stock and asset purchases for clients in the financial services and industrial sectors.
