Mr. Rosen's law practice primarily consists of representing businesses involved in coal, coalbed methane gas and conventional oil and gas, minerals, natural resources, environmental resources, land development, and technologies related to underground mine safety, carbon-based materials and environmental remediation. He devotes significant time to mergers and acquisitions, commercial law counseling and mineral conveyancing.
He represents publicly traded and closely held Eastern coal producers, and publicly traded and closely held coalbed methane gas and conventional oil and gas producers.
Mr. Rosen represents coal producers and developers in all aspects of coal mergers and acquisitions, coal reserve leasing, acquisition and disposition, contract mining, and mineral conveyancing matters. He also represents coal producers and consumers in all aspects of coal supply agreements. He has been active in synthetic fuel, feedstock and synfuel off-take, facility development and facility operation agreements, and methane gas development agreements.
In the past, Mr. Rosen has also represented coal producer trade associations on legislative issues before federal and state regulatory and legislative bodies, and he has represented coal producers in matters including mine and related facility siting, permitting, design, compliance and reclamation matters. He acts as regulatory counsel to operating coal producers, including in proceedings before the Office of Surface Mining Reclamation and Enforcement, MSHA, the Department of Interior Office of Hearings and Appeals, and federal and state courts involving matters related to accidents, illegal discharge, water, noise and dust pollution, reclamation standards, license and permit suspension and revocation, ownership and control permit blocking issues, designation of areas unsuitable for mining, injunctive relief and reclamation bond forfeitures.
He also represents publicly traded and closely held coalbed methane gas and conventional oil and gas producers in connection with mergers and acquisitions, the acquisition and disposition of oil and gas interests, joint development and exploration agreements, drilling agreements, mineral conveyancing and regulatory matters.
Mr. Rosen is a past member of the Pennsylvania Ad Hoc Task Force on Mining Legislation, the group responsible for revising Pennsylvania's surface coal mining laws and regulations to meet the primacy requirements of the Federal Surface Mining Control and Reclamation Act of August 3, 1977.
He is also a past member of the Pennsylvania Mining Advisory Committee, the group responsible for periodic amendments to Pennsylvania's surface coal mining laws and regulations; and a past member the Pennsylvania Environmental Hearing Board Rules Committee, the group responsible for amending the rules of procedure governing administrative law proceedings before Pennsylvania's environmental trial court. He is a frequent lecturer for the continuing legal education seminars on mineral law, conveyancing and land use topics.
