For more than 30 years, Mr. Carter has concentrated his practice in the areas of mergers and acquisitions, corporate finance, banking and financial institutions, securities and business law.

Mergers & Acquisitions

A significant portion of Mr. Carter's practice involves structuring and negotiating merger and acquisition transactions, including registered stock-for-stock acquisitions, cash merger transactions, tender offers, asset acquisitions and stock sales.

Representative transactions include the sale of a large regional department store chain to a national retailer; the sales of a modular home manufacturer, golf cart manufacturer, and medical device supplier by private equity funds; the sales of an international bowling company, lumber company, and landfill gas company to private equity funds; acquisitions of power plants by a public utility; the sale of a publicly traded health care company; the acquisition of an information technology company by an international technology company; and the sale of a transportation industry technology provider to a diversified international industrial company.

Banking & Financial Institutions

Mr. Carter regularly represents banks, bank holding companies, and other financial institutions in general corporate, securities, regulatory and other matters, negotiating and structuring acquisitions and divestitures, advising on restructurings, including spin-off transactions, and negotiating and arranging public and private offerings of various equity and debt securities.

Representative transactions include the sale of a regional bank holding company to a national financial institution; the sale of a publicly traded broker-dealer to a regional bank holding company; the formation of a master trust for the securitization of credit card receivable-backed securities and subsequent public offerings of such securities; the spin-off of a credit card bank by a regional bank holding company; the formation of a registered bank holding company; the sale of an insurance agency to a regional bank holding company; and acquisitions and sales of mortgage origination companies.

Corporate Finance

Over the years, Mr. Carter has assisted a number of clients in diverse industries, including banking, insurance, furniture, utilities, manufacturing and transportation, in raising capital in public offerings and private placements of a variety of equity and debt securities. He has represented issuers and underwriters and has handled, among other transactions, domestic and foreign public offerings, Rule 144A transactions, Regulation S offerings and shelf registrations.

Representative transactions include a Rule 144A offering of debt securities to finance a railroad acquisition, followed by an exchange registration of such securities; a public common stock offering for a public utility holding company; the initial public offering of common stock for a substantial credit card bank; registered debt offerings for a large transportation company and an international tobacco leaf dealer; a rights offering for an international bowling company; and several public trust preferred stock offerings.
