In addition to his native Finland, Mr. Junnila has worked internationally in London, Stockholm and Riga (Latvia). He has considerable experience in international cross-border M&A and finance transactions, particularly in northern Europe and the United Kingdom, Russia and Central Asia.

His practice is divided between corporate and commercial law, with an emphasis on mergers and acquisitions (primarily for vendors and purchasers), finance transactions (bilateral, club and syndicated, vanilla, leveraged and complex financing structures, debt restructurings and reorganisations), debt capital markets, export and project financing. His practice covers five continents and a multitude of jurisdictions for clients ranging from start-ups/SME's and borrowers to global conglomerates and bank syndicates.


Representative Matters
  • Corporate and M&A
    • Acquisition of an oil production company and bolding company structure in Azerbaijan with a value of US $116 million.
    • Sale of interests in Russian oil company with a value of US $5 billion.
    • Acquisition of 51% interest in Oil JV in Azerbaijan with value of US $245 million.
    • Development of investment consortium and acquisition of US $2 billion interest in a chemical plant and other privatized assets in Turkey and related US $400 million secured loan facility.
    • Advising the purchaser in a Swedish major quoted company's subsidiary MBO.
    • Advised the vendor in the transaction where major Russian oil company purchased 100% of the participant in oil deposits of the southwest Central Asia for US $580 million in a 25-day project.
    • Advised the vendor in the sale of a chain of Russian gas stations for US $42 million.
    • Advised in the initiated negotiations of a purchase of material part of European energy conglomerate with an estimated transaction value in excess of €6bn.
    • Advising the vendor on sale of a greetings card continuance business for £12m.
    • Advising on the €21.3m investment by an international technology investor into Polymer Vision Limited, a Royal Dutch Philips spin-off, and continuing to act for the new high-tech blue chip.
    • Assisting an English oil company on its acquisition of a Guatemalan oil company, private placements of more than US $20 million relating thereto and its successful admission on AIM.
    • Acting for a Swedish high-tech industrial company on its successful acquisition of the vacuum generators business from an American seller in an ambitious timeline.
    • Advising on numerous real property purchases in Finland.
    • Represented and advised a Nordic retail chain's EBRD backed real estate project in the Baltics totaling €61m.
    • Assisted in merger of Merita Bank of Finland and Nordbanken of Sweden creating the largest Nordic financial institution (Nordea).
  • Finance
    • Acted as the English counsel to Elcoteq SE in the refinancing of its €100m revolving credit facility.
    • Advising a Kazakhstan bank on its secured US$10m bilateral facility.
    • Advising Wachovia in its US$30m bilateral loan to a Malaysian bank.
    • Advising Wachovia in a bilateral loan to a Dubai bank.
    • Advising a large Kazakhstan bank in its global custody agreement.
    • Advising Bank of America on its U$1bn credit facility to an investment management company
    • Advising Bank of America on its $25m liquidity line to Hypercom.
    • Advised an international hydrocarbon trader on its syndicated US$600m facility.
    • Advised the borrower in respect of its refinance of US$660m asset based syndicated revolving credit facility.
    • Advising a Kazakhstan bank on its participation in notes issued under a US$2bn MTN program.
    • Advising Resolution Committee of an Icelandic bank in assessing, recovering, restructuring and otherwise dealing with the bank's foreign part of its €26bn assets, including participations in syndicated facilities, investment funds, repo and derivative transactions.
    • Advising Resolution Committee on English law issues arising in respect of Informal Creditors Committee and creditors of the bank generally.
    • Advised an English charity in its £7m project finance facility and its hedging.
    • Advised a Finnish bank in its international client's €12m bilateral secured facility restructuring.
    • Advised an English niche bank in its €2.1m acquisition finance of specialist equipments.
    • Advising on structuring, development and documentation relating to: (1) export financing of telecommunications network equipment totaling in value of more than US $200 million in the Philippines; (2) export financing of power generating equipment to Lesotho; (3) export financing of circa 100 busses exported to Turkey; (4) export financing of telecommunications network of circa US $20 million in Central America; and (5) the Millennium Project and Euro Project regarding more than 35 syndicated lenders and numerous banks of the largest Nordic banking group.
