Mr. Dossa focuses his practice on equity capital markets, securities, mergers and acquisitions, and financial services regulatory and compliance work, including listings (Official List and AIM), disposals, cross-border takeovers, restructurings, FSA authorizations and approvals, and advising on general financial and investment regulatory matters. He advises large corporations, SMEs and investment funds on a range of corporate, commercial, regulatory compliance and corporate governance matters.


Representative Matters
  • Advising a broker on a secondary financing by a Russian AIM listed company.
  • Advising NYSE-listed Teledyne Technologies Incorporated on its acquisition of UK-based, AIM-listed Intelek PLC worth approximately £30 million.
  • Advising an EU-based structured investment company on passporting its regulatory authorizations into the UK, its UK operations, and ongoing compliance matters.
  • Advising an EU-based insurance broker on passporting its regulatory authorizations into the UK and setting up branch operations.
  • Advising investment broker firms on regulatory issues including on authorization and financial promotions.
  • Advising a broker on an abortive cross-border US $50 million IPO fundraising and admission to AIM of a produce distribution company.
  • Advising Ethanol Investments Limited PLC on its readmission to AIM, changing its name to Evergreen Securities PLC with a market capitalisation of £12.2 million following a reverse takeover.
  • Acting for Petrolatina Plc (formerly Taghmen Energy plc) on its admission to AIM subsequent to its private placement of US $20 million.
  • Advising a UK-based Latin American resources company on its cross-border acquisition of various mining properties, pre-IPO private placements totaling approximately US $15 million, its abortive admission to AIM, secured debt facilities totaling US $45 million, and a potential reverse into an AIM-listed company.
  • Advising a corporate finance house in its capacity as a Rule 3 adviser on a competing hostile takeover of an AIM-listed company.
  • Advising Escalon Medical Corp. (listed on NASDAQ Small Cap Market) on its takeover of Drew Scientific Group PLC (listed on Official List) with offer value of approximately £5.3 million.
  • Acting for a UAE-based company on its purchase of a manufacturing plant from a company in administration.
  • Representing Jubilee Investment Trust Plc (net asset value of more than £30m) on its listing on Official List.
  • Representing Jubilee Investment Trust Plc (a fully listed company) in its takeover bid for New Opportunities Investment Trust Plc.
  • Acting for a BVI company on a convertible loan note issue.
  • Acting on the purchase of a hotel business (including freehold and leasehold properties) for consideration in excess of £70m.
  • Acting on the sale of a hotel business for a consideration of £15million.
