Ms. Carr's practice focuses on international corporate, commercial and financial transactions, specifically project and infrastructure finance, mergers and acquisitions, corporate finance and securities transactions, including public and exempt securities offerings, and media production and distribution.

She has represented clients in multibillion-dollar transactions in the Americas, Europe (including Eastern Europe, Russia and the Commonwealth of Independent States), Africa, the Middle East and Asia, including underwriters and issuers in domestic and cross-border high-yield and investment grade debt issuances, as well as equity offerings; buyers in asset purchase and stock purchase transactions; project companies, sponsors and lessors in project finance and asset finance transactions; and worldwide broadcasters in production and distribution deals.

  • The debut overseas issuance (with no U.S. tranche) of €2,850,000,000 Eurobonds by Kraft Foods, Inc.
  • The debut issuance in the United States of $800,000,000 investment grade debt by Marks & Spencer plc.
  • The $540,000,000 asset purchase acquisition of the Transfusion Therapies business of Baxter International, Inc. by TPG.
  • The $800,000,000 financing of a Chilean toll road concession, including concurrent debt issuances in the United States and in Chile.
  • Acted for the issuer in a proposed €250,000,000 offering of units, composed of shares and warrants, by a special purpose acquisition company.
  • The $150,800,000 secondary offering of SEC-registered, NYSE-listed shares by certain shareholders of the issuer, Home Properties, Inc.
  • Acted for the joint lead managers (underwriters) in a proposed Rule 144A Eurobond offering by a major Eastern European mining company.
  • Acted for the joint lead managers (underwriters) proposed Rule 144A Eurobond offering by a major Eastern European electricity distributor.
  • Acted for a major international network in a satellite distribution services and advertising sales and insertion arrangement with a major Eastern European media company.
  • Acted for a major international network in a proposed commission of production services by a South African production company.
