Mr. Gopalan practices in the areas of securities, complex commercial contracts, and mergers and acquisitions. He has experience drafting disclosure documents for public debt and equity securities offerings by large banking institutions, as well as private placement offerings to domestic and foreign institutional investors. In addition, he has assisted companies with debt repurchases, public exchange offers, and offerings of derivative and hybrid securities, and has experience with domestic and foreign securities laws compliance issues.

He advises and negotiates on behalf of large companies in connection with master agreements for both the procurement and provision of products and services, including in large business and technology process outsourcings, with an emphasis on technology agreements related to telecommunications, Internet service provision, and development and licensing of hardware and software (including open-source components). He also has assisted with the structuring and negotiation of stock purchases, asset purchases, operating agreements, and other general corporate and transactional agreements.
