Mr. Nakasone's practice is concentrated in the areas of commercial transactions, corporate and business transactions, and intellectual property protection and asset management. He is experienced in financial transactions, technology acquisition and licensing; distribution, franchising, Internet transactions and information technology outsourcing.
Commercial Transactions
Mr. Nakasone has served as outside counsel to domestic companies and domestic affiliates of foreign companies involved in the manufacture and distribution of consumer, commercial and industrial products, entertainment, real estate, financial services, data processing services and online services. He has handled a broad range of domestic and cross-border transactions, including asset acquisitions and divestitures, mergers, distribution, licensing, franchising, real property acquisition, development and leasing. Clients have included Fuji Denko Company, California Fuji International, Inc. and Shikoku International Corporation.
General Business Representation
Mr. Nakasone has represented domestic and foreign companies in a variety of business transactions, including business formation, debt and equity financing, restructuring, joint ventures, mergers and acquisitions, and divestitures. Clients have included Tokyo Leisure Development Co., Ltd., AboveNet, Inc. and Syscon Co., Ltd.
Financial Transactions
Mr. Nakasone has represented major financial institutions in loan transactions, participations and workouts. Clients have included The Chuo Mitsui Trust & Banking Co., Ltd., Bank of Tokyo-Mitsubishi, and predecessors to Mizuho Bank and Shinsei Bank.
Intellectual Property Protection and Asset Management
Mr. Nakasone has represented technology and entertainment industry companies, protecting and managing their intellectual property assets including the registration of trademarks and copyrights, maintenance of intellectual property portfolios, and establishment of enforcement programs. Clients have included The Walt Disney Company Japan, Yamaha Motors and Shimadzu Corporation.
Technology Acquisition and Licensing
Mr. Nakasone has represented technology companies in the acquisition and licensing of technology, including, computer software, step motor technology for desktop printers, digital film and genome biotechnology. Clients have included Olympus Optical Corporation, New Japan Radio Co., Ltd. and Daiichi Pharmaceutical Co., Ltd.
Internet Transactions
Mr. Nakasone has represented Internet infrastructure providers, Internet service providers, Internet portals, online service providers and online merchants in domain name registration, maintenance and protection, connectivity agreements, website development and maintenance agreements, website hosting agreements, online service agreements, member agreements and consulting agreements. Clients have included Mitsubishi Corporation, AboveNet, Inc. and Boook.com.
Information Technology Outsourcing
Mr. Nakasone has represented financial institutions in the divestiture and outsourcing of electronic data processing and item processing operations. Clients have included Washington Mutual Bank, Manufacturers Bank and First American National Bank.
