Mr. Marsico's work is principally focused on commercial litigation, with cases involving transactional, securities, insurance coverage, corporate control, financing arrangements and general corporate litigation. He has litigated actions and arbitrations on behalf of clients in more than 25 states and before several foreign arbitration tribunals, and he provides general corporate counsel to many of his business clients. He is head of McGuireWoods' litigation group in Pittsburgh as well as the firm's coal team, a cross-departmental group of attorneys who provide integrated, coal-related legal services to coal producers, coal transporters, utilities and service providers to the coal industry.

His commercial litigation experience includes numerous cases involving the enforcement of long-term supply agreements, the interpretation of insurance contracts providing coverage for industrial and toxic hazards and class action securities fraud suits against securities issuers. His clients include publicly traded manufacturers, energy producers, financial institutions, communications providers and corporate holding companies, as well as large family and trust-owned entities.

In the area of mergers and acquisitions, he has represented numerous clients in disputes arising from the purchase and sale of businesses, including cases involving the enforceability of letters of intent for the sale of businesses, post-closing claims of breached representations and warranties, securities fraud and corporate control disputes.

His experience includes:

  • Securing the dismissal of a municipality's multimillion-dollar RICO claim against a national waste disposal company.
  • Litigating a coal supply dispute to decision increasing the client's total sales under the agreement by more than $80 million.
  • Securing partial summary judgment in favor of an insured that its policies provide $320 million in nuclear hazard liability coverage rather that the $40 million in coverage the insurer claimed.
  • Defending, then settling on favorable terms, a multimillion-dollar securities fraud class action claim against a publicly held finance company for alleged financial misrepresentations to its stockholders.
  • Trying a steel manufacturer's business interruption claim against an insurer to jury verdict for more than $1 million.
  • During trial, settling for the policy limits a purchaser's malpractice claim against the seller's accounting firm for misrepresenting the financial condition of the acquired company.
  • Defending, then settling on favorable terms, a department store's $100+ million claim against a national retailer and shopping mall developer for terminating an agreement to purchase the chain.
