Mr. Lusk's main practice areas are in general corporate counseling, mergers and acquisitions, and financial services for both publicly and privately held companies. He frequently represents investment funds and portfolio companies in all types of private equity transactions from venture to mezzanine to buyout transactions. In addition, he often serves as outside general counsel for portfolio companies of his private equity fund clients.
- Represented portfolio company in multi-million dollar dividend recapitalization.
- Represented Inpro/Seal in its sale of assets to Waukesha Bearings, an operating division of Dover Corporation.
- Represented the shareholders of MPC Products in the sale to Woodward Governor, approximate value of $400 million.
- Represented private equity fund in multiple add-on acquisitions of plastic injection molding companies.
- Represented The Taylor Group in multiple acquisitions and acted as outside general counsel.
- Represented MVC Capital, Inc., a publicly traded business development company, in numerous acquisitions.
- Represented private equity fund in purchase of 20 quick serve restaurants from national franchisor.
- Represented private equity fund in leveraged buyout of an Indiana mineral wool manufacturing company.
- Represented fundless sponsor in its acquisition (with multiple private equity and mezzanine funds) of a manufacturer of radio remote controls for cranes, locomotives, material handling equipment, and heavy machinery.
- Represented the Tokarz Group in multiple acquisitions, control investments, and minority investments, and acted as outside general counsel.
- Represented Qwiz, Inc. in multiple acquisitions and acted as outside general counsel.
- Represented Comdisco, Inc. and Comdisco Ventures on various corporate and securities matters.
