Non-Profits and 501(c)(3) Financings

You may need to construct a new headquarters building, preserve a historic site, or add onto a museum. You have to deal with the diverse opinions of your board of directors as well as a constantly evolving set of finance regulations. Our team understands.

McGuireWoods has extensive experience in tax-exempt financing for qualified general 501(c)(3) institutions outside the health care and education arenas. Over the last 20 years, we have been involved in a variety of facility and headquarters financings for numerous 501(c)(3) entities.

We have experience with drafting and negotiating complex financings and credit structures for 501(c)(3) organizations, including rated institutions. We have structured innovative financing techniques including variable rate issues, letter of credit-backed issues, synthetic leases, demand and self-put bonds and auction reset securities.

We have undertaken numerous public and private offerings, both tax-exempt and taxable. Our experience includes solving particularly difficult tax issues that arise in financing 501(c)(3) facilities, including reimbursement issues and issues involving fund raising and arbitrage.
