Steve is chair of the cross-departmental technology and outsourcing practice team with 30 years of experience as a technology and outsourcing lawyer.

His experience includes a wide range of technology-related matters including structuring, negotiating, and advising on information technology and business process outsourcings; traditional software transactions such as commercial and strategic software licensing; large-scale systems procurement and development; and technology marketing and strategic alliances. He also counsels clients regarding evolving "software as a service" business models, electronic publishing, Internet commerce, open source software, blockchain technology and data security and intellectual property matters relating to software and information content.

In addition to his work in the technology and outsourcing field, Steve has broad experience in corporate and business law, having represented public and private companies ranging from large Fortune 500 companies to smaller entrepreneurial entities, particularly in the software and technology fields. His experience includes work in public offerings, private placements, mergers and acquisitions, and joint ventures.

Steve has an academic background and work experience in the field of computer science and systems analysis. Prior to joining McGuireWoods, he was a computer analyst at United Information Services and a computer systems consultant.

Representation of the producer of several well-known consumer beverage brands in a $100 million outsourcing to IBM of its information technology infrastructure, including its network, end user, and mainframe infrastructure, as well as IT operations at its local production facilities.

Representation of a UK-headquartered, publicly-held food ingredients producer when it entered into an approximately $20 million engagement of a consulting firm to rationalize global, disparate back-office computer systems and business processes into a single global SAP-based ERP system and global business platform.

Representation of a European-based print and electronic publisher in a wide variety of transactions involving electronic content distribution and electronic medical record software.

Representation of a financial services “software-as-a-service” provider in developing and acquiring from a third party core components of the technology platform to operate its business.

Representation of a professional services software vendor in establishing a data analytics business. The project included providing and assessing contractual requirements to do data mining of customers’ data and structuring the appropriate downstream data protections.
