John B. Hoke Associate

John focuses his practice on mergers and acquisitions, securities, private equity, energy and a variety of other corporate and transactional matters.

He regularly advises public and private companies on asset sales and acquisitions, mergers, financing transactions, buy-outs, capital raises, securities compliance and general corporate governance matters.  In addition, John routinely assists clients on a variety of commercial matters, including supply chain contracts, reseller agreements and intellectual property licenses. 

Prior to entering private practice, John worked as a legal assistant in the Washington D.C. office of an international law firm and served as a judicial extern to the Honorable John A. Gibney Jr., U.S. District Court for the Eastern District of Virginia and as an intern to Senator Edward M. Kennedy on the United States Senate’s Health, Education, Labor and Pensions Committee.

Representation of Tesoro Logistics in its $444 million acquisition of Alaska petroleum storage and terminal assets from Tesoro Corp.

Representation of a private equity fund in its $40 million investment in a payroll processing company.

Representation of a private investment firm in its acquisition of a medical device company.

Representation of a publicly-held technology company in its acquisition of an Israel-based manufacturer.

Representation of a Nasdaq-listed technology company in its at-the-market offering and registered direct offering.
