Fred is a former member of the McGuireWoods LLP Board of Partners and served as managing partner of the Atlanta office from 2004 to 2008. For more than three decades Fred has been a trusted business advisor to corporations, partnership and limited-liability companies in the securities, healthcare, international trade, professional services, real estate and other industries. Fred has particular focus on (i) private equity fund advisors in connection with private equity and hedge fund investments, with an emphasis on investment advisors to state pension funds and other institutional investors, and (ii) real estate operating companies which develop, joint venture, acquire, lease manage and finance multifamily, retail and office portfolios.

Fred’s broad experience includes securities, tax and other aspects which arise in mergers and acquisitions. He often serves in the various roles of company counsel, fund or account counsel and transaction counsel. Fred counsels clients with respect to their day-to-day legal matters and assists company boards regarding the legal implications of strategic business decisions.

Represented seller in an approximately $600 million sale of 50% of the equity interest in an institutionally-owned real estate operating company.

Represented registered investment advisor to a state pension system in over $2.5 billion in investments in a wide range of industries, including (i) agricultural lending institutions, (ii) funds focused on value-oriented investments in opportunistic situations, bankruptcies, restructurings and turnarounds in the United States, (iii) funds focused on debt obligations and other assets, including real estate, operating companies and special situations, (iv) funds focused on investments in life settlement contracts and (v) funds focused on investment in social media and technology companies.

Represented a joint venture partner in the formation of joint venture and acquisition/operation of core apartment properties, including equity investment of $265 million by joint venture partners and $980 million non-recourse financing of property acquisition.

Represents a closely held trading corporation engaged in international purchase and sale of food and related products.
