Sarah E. Mick Associate

Sarah focuses on corporate healthcare transactional work and regulatory matters.

She primarily counsels healthcare clients, including hospitals and health systems, clinically integrated networks, long-term care facilities, ambulatory surgery centers, large physician groups, federally qualified health centers (FQHCs) and middle-market private equity firms. She aims to help her healthcare clients thrive in this highly regulated and quickly evolving industry.

Strategic Transactions. Sarah guides clients through mergers and acquisitions, joint ventures, management arrangements and system restructuring. This includes representation of middle-market private equity firms through their initial acquisitions and various add-ons of portfolio companies. She also advises clients on the legal and operational aspects of alignment strategies including the formation of accountable care organizations and clinically integrated networks.

Health Care Compliance, Investigations and Defense. Sarah represents clients on various reimbursement and fraud and abuse issues involving Medicare and Medicaid laws, Stark, the Anti-Kickback Statute, the Civil Money Penalties Law, the False Claims Act and state fraud and abuse laws. She has assisted clients with addressing day-to-day matters, structuring transactions, making self-disclosures in connection with repayment issues and disputing Medicare and Medicaid recoupment demands. In addition, her regulatory experience spans HIPAA, corporate practice of medicine prohibitions, federal and Illinois tax exemptions laws, EMTALA and facility licensing laws.
