Timothy heads up the corporate practice of the Brussels office of McGuireWoods that was named Best Private M&A Law Firm in Belgium for 2016 by Acquisition International magazine.

Timothy focuses his practice on mergers and acquisitions, private equity (including venture and risk capital) and corporate restructurings. He assists sellers and buyers with private M&A transactions in competitive auction processes led by investment banks or otherwise, as well as management and private equity and venture capital funds with acquisitions, investments and management buy-outs. He also works with issuers and investment banks in the framework of capital markets transactions such as initial and secondary public offerings and private placements.

Timothy advises private and publicly listed companies with respect to corporate governance and payment institutions on regulatory aspects related to offering payment services (PSD). He also advises funds with respect to the registrations and other regulatory obligations under AIFMD and as a EuVECA (European Venture Capital Fund).

Timothy is an active member of the Belgian Venture Capital and Private Equity Association. He’s recommended by the Legal 500 EMEA in the category ‘Corporate and M&A – Belgium’ where clients describe him as being ‘a good negotiator’ (2015 Edition) and is praised for his ‘sharpness of analysis’ (2016 Edition).  He’s also recommended in the Leaders League (2015 and 2016 Ranking of the Top Law Firms in Belgium - Mergers and Acquisitions).

Representing JSR Micro NV, a Belgian wholly owned subsidiary of Japanese based JSR Corporation, with the establishment of a €18 million strategic partnership (joint venture) with imec, a Belgian-based world-leading nanoelectronics research and development centre, with respect to manufacturing and quality control of EUV lithography materials for the semiconductor industry.

Representing DN Capital (UK) and Piton Capital (NL) with a €6 million series A investment and with a subsequent series B round in Takeeateasy.be SA, a Belgium based company specializing in restaurant delivery services in Belgium and France.

Representing Technologies Incorporated (NYSE:TDY) with the acquisition, through its Dutch subsidiary, Teledyne DALSA B.V., of Industrial Control Machines SA (“ICM”), a Liège (Belgium) based supplier of portable X-ray generators for non-destructive testing applications, as well as complete X-ray imaging systems for on-site security screening.

Representing Keneos Group, a Luxembourg based SAP solutions provider with activities in Luxembourg, Belgium, France and Switzerland, with the sale of its entire issued share capital to SOA People Group, a Luxembourg based SAP solutions provider with activities in Luxembourg, Belgium, The Netherlands and France.

Representing ING Belgium NV as lead investor with a €7.5 million cornerstone investment in, and a partnership agreement with, SmartFin Capital NV, a Belgian based investment fund focusing on investments in so-called Smart Technologies (“SmartTech”) with a special focus on Financial Technologies (“FinTech”).

Advising IEM Power Systems, a Jacksonville (FL) based manufacturer of electrical distribution and power quality equipment in relation to all aspects of its acquisition of all of the issued share capital of Liège (Belgium) based KS Research SA and of the rotary uninterrupted power supply (UPS) business division of Liège (Belgium) based KS Techniques SA.

Advising Swiss based Banque Thaler SA, as lead investor in a €20 million private placement round of a newly established sub-fund of Cygnus Real Estate Fund, a Luxembourg alternative investment fund (AIF) focusing on investments in distressed real estate in Germany.

Advising Pluriomics B.V., a Dutch based biotech company with respect to its move to Belgium and subsequently assisting Pluriomics Belgium SA, the newly formed Belgian entity, with respect to a €4.5 million series A capital round with investments from Luxembourg based Vesalius Biocapital, Dutch based InnovationQuarter and Walloon governmental funds, SRIW and Sambrinvest.

Representing ING Belgium NV as lead investor in a €2 million preferred capital round of NG Data NV, a ‘big data’ customer experience management solutions company.

Representing JSR Micro NV, a Belgian wholly owned subsidiary of Japanese based JSR Corporation, with an investment in ChromaCon AG, a Swiss based private life science tool company.

Representing JSR Micro NV, a Belgian wholly owned subsidiary of Japanese based JSR Corporation, with an investment BIA Separations GmbH,  an Austrian based developer and manufacturer of monolithic chromatographic columns for production, purification, and analytics of large biomolecules, having research and production facilities in Slovenia and sales offices in the US and China.
