David S. Wolpa Associate

David concentrates his practice on securities, mergers and acquisitions and general corporate matters, representing clients in a wide variety of industries. His experience includes representing public and private companies in offerings of securities and mergers and acquisitions transactions.

He also has experience counseling publicly traded clients on matters pertaining to securities law compliance, stock exchange listing standards and corporate governance issues.

Prior to joining McGuireWoods, David worked for a full-service law firm in Chicago, Illinois. While pursuing his Juris Doctor at the Loyola University Chicago School of Law, David earned a CALI Award for Legal Writing. He also served as a judicial extern for the Honorable Mark Filip, U.S. District Court Judge for the Northern District of Illinois.


Representation of National Securities Corp. and Craig-Hallum Capital Group as placement agents’ counsel in connection with a $21.6 million private placement (PIPE) of Class B common stock by RumbleOn, Inc. (Nasdaq: RMBL), a disruptive e-commerce platform focused on the motorcycle and power boat market.

Representation as underwriters’ counsel of National Securities Corporation, as representative of the underwriting syndicate, in connection with a follow-on public offering of common stock by Checkpoint Therapeutics, Inc. (Nasdaq: CKPT), a clinical-stage immune-oncology biopharmaceutical company.
