McGuireWoods’ interdisciplinary education team has helped several hundred institutions of higher education, public and private K-12 schools, school boards, statewide organizations, foundations, endowments and conferences address virtually every type of issue they face. We understand that many of these organizations share similar legal needs, but also recognize that the current legislative and regulatory environment presents unique challenges that require focused, client-specific solutions.

We help institutions to prevent and confront a broad range of challenges through proactive legal compliance audits. Our experience allows us to view and address issues and constituent demands comprehensively, whether negotiating with professors seeking a stronger voice in governance, students seeking to change disciplinary rules or an accrediting association seeking changes in curricula.

We counsel boards of trustees and institutions on all matters related to Title IX and campus sexual misconduct, corporate governance, investment management, vendor management, public finance, tax, employee benefits, executive compensation, financial aid and lending, student health, privacy, personal conduct and safety, campus security, and immigration. In the research and development arena, we are experienced in protecting and defending intellectual property and in identifying and implementing effective technology transfers. We also assist in numerous types of claims related to labor and employment, tenure, religious affiliation, athletics and NCAA rules, crisis and advocacy communications, and government relations and public policy.

For years, our team members have been actively involved in shaping educational solutions locally and nationally. Our partners include:

  • A member of the Maryland Governor and Lieutenant Governor’s Higher Education Transition Group

One of our partners has served as an adjunct professor for the University of North Carolina at Charlotte’s graduate program in education, and several teach a course at Washington & Lee University on the law of higher education.

Additionally, one of our team members served as Chair of the North Carolina Bar Association Education Law Section and another served as vice chair of the American Bar Association’s Section on Administrative Law & Regulatory Practice Education Committee. Public-Private Partnership Transaction

Representation of Virginia Commonwealth University in its negotiations of a public-private partnership transaction with student housing developer American Campus Communities that will result in the construction of new on-campus housing. We negotiated the first-in-state off-balance-sheet transaction. Because of the novel partnership they negotiated, VCU’s bond capacity was not impacted. The project also included a synthetic TIF (tax increment financing), and the construction and operation of the new residence complex will be accomplished with safeguards to limit increases in students’ cost of living. The partnership will result in the construction of privately owned and operated on-campus housing for 1,524 freshman students in traditional and semi-suite style rooms.

Acted as counsel to colleges and universities on all immigration-related matters, including obtaining nonimmigrant status for faculty and staff (e.g., H-1B, J-1); obtaining green cards based on special procedures for faculty and for outstanding professors and researchers, J-1 programs; and SEVIS-related matters, including response to ICE notice of intent to de-certify program.

Our client brought Virginia Fraud Against Taxpayers Act, fraudulent-inducement and breach-of-contract claims against several insurance companies in connection with a major university’s student health insurance plan. McGuireWoods negotiated favorable settlements for our client.

Representation of county school board in a race discrimination and retaliation suit filed. Plaintiff claimed that the termination of his employment violated Title VII. After discovery and cross motions for summary judgment, the court denied the plaintiff’s motion and granted the defendants’ motion and dismissed the case. This matter is now on appeal to the Fourth Circuit Court of Appeals.

Served as counsel to the sole lender on the initial purchase of$16.48 million fixed rate qualified school construction bonds (QSCBs) issued on a non-recourse basis for a charter school in New Jersey that financed the expansion of its urban facilities. The expansion was also partially funded by more than $8 million in federal new markets tax credits (NMTCs).
