Representation of sponsor in connection with the acquisition, tax equity financing and debt financing of, and hedging arrangements for, a 230 MW wind farm located in Haskell and Knox Counties, Texas.

Served as local counsel for Plantation Pipe Line Co.

Served as local counsel for Plantation Pipe Line Co. in an appeals case with the Texas Supreme Court. The Court refused to hear an appeal of a lower-court ruling which held that Plantation Pipe Line Co. did not forfeit coverage under an excess insurance policy when it settled claims with primary insurers over a 1975 oil leak in North Carolina. The high court’s refusal to take the case upholds Plantation’s 2014 victory in the Court of Appeals for the 11th District of Texas, a decision which bucked a national trend favoring insurance carriers on this issue.

No state agency approval required; however, certain post-closing filings are to be made with the FERC and with the U.S. Treasury Department with respect to certain funds and tax credits received by seller for the two facilities under the American Recovery and Reinvestment Act of 2009.

Representation of a gas company and two co-defendants in the vacating certification of five classes related to coalbed methane (CBM) gas royalty litigation. In its precedent-setting opinion, the court analyzed Rule 23 requirements and definitively placed the burden first on plaintiffs to meet those requirements and then on the district court to analyze them robustly.

Class Certification Denied in Potential 250K Class Related to Atypical Fuel

Representation of an multinational oil and gas corporation in a suit arising out of the production and distribution of approximately five million gallons of atypical fuel that allegedly caused performance issues and damage to some motorists’ engines. The plaintiffs sought to represent an estimated 250,000 putative class members who either purchased the impacted fuel or owned an engine damaged by the fuel. The court denied the plaintiffs’ motion for class certification and later denied the plaintiffs’ motion for reconsideration.

Representation of a large American energy company in a putative class action filed by lawyers representing a proposed class of 1,500 residents.  The complaint asserted claims for nuisance, trespass, and negligence based on emissions from an electric power generation facility notwithstanding our client’s compliance with its Clean Air Act permit.  We initially won a motion to dismiss all claims, and after that was reversed on appeal we briefed and won a motion to strike the class allegations.  Ultimately, the plaintiffs withdrew their claims and the client paid nothing, in what amounted to a complete victory.
