$1.2 billion securities fraud suit against Fortune 100 financial institution

Representation of a Fortune 100 financial institution in consolidated securities fraud litigation in Oklahoma state court arising from the bankruptcy of the nation’s largest servicer of defaulted credit card receivables. The lawsuit involved allegations of fraud in connection with a $189 million conduit transaction. Total claims in the consolidated litigation exceeded $1.2 billion.

Settled an alleged $225 million fraud class action in duplicitous lawyer's plans to defraud investor

Representation of a financial institution in a class action lawsuit filed by foreign investors related to an alleged $225 million fraud scheme orchestrated by an attorney who allegedly deposited the investment funds into various attorney trust accounts with bank and proceeded to use those funds to pay unrelated premium obligations or to pay out money to other investors and participants in the scheme. Plaintiffs, purporting to represent all 1,000+ investors, alleged that the bank failed to properly investigate the nature of the trust accounts, and failed to properly monitor and investigate the money movement between the accounts. After 18 months of litigation, the case settled on terms favorable for the client.

Executive confidence on the line in securities fraud case for insurance client

Representation of a financial institution in a securities fraud case in which the plaintiffs allege that the company, and specifically its CEO and CFO, made fraudulent statements about the adequacy of certain reserves. This suit attacks the viability of the business as well as the competence of executive management.

1 % of the initial demand, a bargain for Fortune 500 in settlement of class action and related matters

Defeated class certification in a proposed class action and five related state court cases against our broker-dealer client involving alleged Ponzi scheme investments. The case settled for 1 percent of the initial demand.

Alleged violations of the Securities Act of 1993 dismissed against distributor of REIT shares

Representation of five Real Estate Investment Trusts, several subsidiary companies, and certain directors and officers in consolidated securities class action in federal court in New York. The consolidated complaint alleged violations of Sections 11, 12 and 15 of the Securities Act of 1933, state securities laws, breach of fiduciary duty, unjust enrichment and negligence. Defendants’ Motions to Dismiss were granted and the case was dismissed with prejudice. The case is currently on appeal to the U.S. Court of Appeals for the Second Circuit.

Failed fund leads to FINRA arbitration for Fortune 500 bank client

Representation of a Fortune 500 financial institution in a suit related to their ultra-high-wealth unit. Bank recommended that claimants purchase shares in an alternative investment fund as part of their overall diversified investment strategy. After that fund failed, claimants initiated a FINRA arbitration against the bank alleging breach of contract, breach of fiduciary duty, negligence, and fraud. Claimants agreed to JAMS arbitration after the bank moved to dismiss for lack of FINRA jurisdiction. A three-day arbitration hearing was held, focusing on the bank's due diligence performed prior to recommending fund to claimants and the appreciation of claimants’ investment portfolios despite the fund's failure and the financial crisis. Panel awarded claimants zero damages.

Secured voluntary dismissal of suit alleging inaccurate financial advice against bank

Represented three financial institution affiliates in litigation arising from investment and insurance advice provided to plaintiffs concerning their parents’ estate. Plaintiffs alleged that the three entities knowingly gave inaccurate financial advice regarding the characteristics of life insurance products in order to earn commissions. Plaintiffs sought nearly $1 million in damages − and a separate amount for attorneys’ fees − based on charges of inducement, constructive fraud, breach of fiduciary duty and unjust enrichment. The McGuireWoods team filed a 12(b)(6) motion to dismiss the initial complaint, which prompted plaintiffs to file an amended complaint with greatly expanded claims. We then moved to dismiss the amended complaint in its entirety and with prejudice. Two days before plaintiffs’ response was due, their counsel indicated that they were voluntarily dismissing the lawsuit, an action that was formally ordered.

Negotiation of favorable settlement chips the ice of outstanding debt for Icelandic bank client

Representation of an insolvent Icelandic bank in relation to potential claims against another major international bank arising from various outstanding foreign exchange positions at the time of the insolvency of the Icelandic bank in 2008. Complex legal and factual accountancy points arose as to the proper calculation of amounts due in relation to the underlying derivatives. The opponent denied that any sums were due to our client above those it had already paid but, following a number of hard-fought negotiations, agreed to a confidential settlement agreement pursuant to which it would be required to make a further payment of €19 million.

Defense of large international bank against allegations that it aided and enabled a $1.2 billion Ponzi scheme orchestrated by a customer of the bank.

Secured dismissal on motions and merits in a shareholder action on behalf of technology client

Lead hearing and trial counsel for an information technology company in a shareholder action brought by two hedge funds claiming non-payment of more than $100 million in dividends and redemption payments for preferred shares, and seeking monetary relief along with receivership and dissolution of company.

Achieved summary judgment for individual client against securities company in stolen stock dispute

Representation of an individual in a suit filed against a securities company in order to recover over $3 million worth of stock stolen our client. Firm obtained a temporary injunction restraining the securities company from using any assets in its accounts. The stock company eventually returned just under $2 million worth of stock. On summary judgment, our client also obtained a $1.3 million judgment.

Laws of the homeland apply to Cypriot company in triple derivative action brought by shareholder

Representation of a Cypriot company and its subsidiaries in a shareholder triple derivative action brought by a Russian shareholder who claimed that various defendants improperly diverted corporate funds. The court applied the law of Cyprus in determining that Cyprus does not recognize shareholder derivative actions and the matter should be dismissed as a result.
