Jonathan advises businesses in the structuring, negotiation and consummation of acquisitions, divestitures and mergers in a range of industries, including private equity, manufacturing, pharmaceuticals, business services, and financial services.

Jonathan also advises clients on general corporate matters, including financings, business formation and restructuring, complex commercial contracts and corporate governance matters.

Prior to joining McGuireWoods, Jonathan worked in the New York office of a large international law firm.

Experience

Represented a publicly traded pharmaceutical company in the acquisition of a biotechnology company in a transaction valued in excess of $8 billion.

Represented a fund sponsor in the formation and launch of multibillion-dollar mezzanine debt investment fund.

Represented a publicly traded sports and entertainment company in the spin-off of its regional cable and radio broadcasting business.

Represented a publicly traded international pharmaceutical company in the acquisition of select dermatology products.

Represented an industrial service provider in its acquisition of a construction services business. 

Represented a privately held industrial service provider in an internal restructuring.

Represented a Fortune 500 consumer goods company in the sale of two legacy business divisions.

Represented a publicly traded banking organization in an SEC-registered offering of common stock valued at approximately $200 million.

Represented foreign and domestic banking organizations in a wide range of regulatory matters, including the preparation of living wills.
