Steve is dedicated to the growth, development and defense of our clients’ business goals during transformative technology transactions, mergers and acquisitions, private equity and venture capital deals. Steve regularly advises clients on technology matters including complex, multi-vendor outsourcings, software-as-a-service (SaaS) and cloud licensing agreements, source code licensing, development and co-marketing agreements and Fintech and ERP deployments and restructurings.
In connection with these transactions, Steve counsels clients on the development of information security and data privacy policies and contracting guidelines (particularly in regulated industries such as banking and healthcare). He has significant experience assisting clients with privacy and security concerns arising from multi-tenant and international cloud hosting arrangements.
Steve also has experience with a variety of transactional deals including asset purchase transactions, stock purchase transactions and commercial financing arrangements. He advises on startup and venture capital transactions that include raising capital, convertible stock issuance, corporate governance and debt financing. His work with startups starts at the early stage of company formation and initial seed financing continuing through subsequent rounds of financing and eventually exit.
Steve attended the University of Chicago Law School where he participated in the first class of the Doctoroff Business Leadership Program. The Doctoroff program gave Steve the opportunity to work with early stage technology companies around Chicago. Steve received his B.S. in mechanical engineering from the University of Illinois Urbana-Champaign and worked with various companies to develop new products in the electronics and materials industries.
