Allyson focuses her practice on debt finance, including representing lenders, borrowers, lessors, lessees, buyers, and sellers in connection with loan, lease and acquisition transactions involving aircraft, railcars and other transportation assets.

Over the course of her career, Allyson has assisted clients with investment and finance transactions at all levels of the capital
structure, including senior and subordinated debt transactions, second-lien facilities, mezzanine finance, private equity buy-outs and
others. She has represented both lenders and borrowers on complex and conventional financing structures, including traditional secured and
unsecured lending, complex multicurrency and multifacility credit arrangements, term loan B and second-lien facilities, asset-based
credits, and project-based transactions.

In addition to her debt finance work, Allyson offers general corporate experience, including review and negotiation of commercial
contracts, corporate governance, mergers and acquisitions, and other organizational transactions.

Experience

  • Represented lender in connection with an approximately $35 million construction financing for a 12.3 megawatt solar photovoltaic energy
    installation on a US military base.
  • Represented lenders and lessors in connection with various aviation finance transactions.
  • Represented seller in connection with the portfolio sale of railcars and related leases.
  • Represented equity investor in connection with the recapitalization and equity investment in shipping company.
  • Represented lenders in connection with various senior, subordinated and mezzanine finance transactions.
