Charles C. Harris Associate

Charles’ practice focuses on advising clients in the healthcare sector with regard to transactional and regulatory matters.

Charles has extensive experience advising integrated healthcare delivery systems, investors, payors and other operating companies in the healthcare sector with respect to structuring business transactions and regulatory matters (including fraud & abuse, health privacy, licensure, reimbursement and operational issues). Prior to joining McGuireWoods, Charles served as general counsel to a San Francisco-based pharmacy benefits management startup company, as an associate at another international law firm and as a fellow in the legal department of an academic medical center.

As a law student at the University of Virginia, Charles was elected to the Raven Society and served as the chairman of the Honor Committee.


Advised leading, private equity-backed gastroenterology and musculoskeletal management services platforms in establishing new platform practices and closing add-on transactions.

Advised physician owners of ambulatory surgery centers and orthopedic, ophthalmologic and neurosurgical medical practices with respect to sale transactions and management arrangements.

Advised owners of a national residential behavioral health company with respect to sale transaction.

Advised integrated healthcare delivery systems with respect to a variety of merger, acquisition and divestiture transactions.

Advised clients in the formation of numerous joint ventures relating to acute care hospitals, home health delivery, precision medicine and group purchasing.

Advised physician / hospital owned specialty hospitals with respect to annual private placement offerings.

Represented integrated healthcare delivery systems with respect to resolution of several False Claims Act self-disclosures.

Advised clients as to numerous employment and independent contractor relationships with physicians and other medical professionals.

Advised accountable care organizations with respect to Medicare Shared Savings Program participation and other commercial payor relationships.

Built the internal legal function (corporate, commercial and compliance) of a Series A venture-backed startup.

Oversaw closing of multi-million dollar venture capital financing round for healthcare startup.
