Ellison G. Johnstone Associate

Ellison focuses her practice on M&A, securities, and other corporate matters.

Before joining McGuireWoods, Ellison received her undergraduate degree from Washington and Lee University and her Juris Doctorate from Vanderbilt University Law School. During law school, Ellison served as a Managing Editor for the Vanderbilt Law Review, completed the Law and Business certificate program, and received a scholastic excellence award in Negotiation and Drafting of Key Corporate Documents. She was also the recipient of the Barney D. Byrd Scholarship and served as a judicial intern for the Honorable Robert J. Conrad, Jr. of the U.S. District Court for the Western District of North Carolina. 

Experience

Representation of National Securities Corp. and Craig-Hallum Capital Group as placement agents in connection with a $21.6 million private placement (PIPE) of Class B common stock by RumbleOn, Inc. (Nasdaq: RMBL).

Representation of JMP Securities as initial purchaser and placement agent in connection with a concurrent $30 million Rule 144A convertible debt and $9.5 million private placement (PIPE) of Class B Common Stock of RumbleOn, Inc. (Nasdaq: RMBL).

Representation of the placement agent in connection with a private offering of common stock by a clinical stage company focused on the research, development and commercialization of transformative therapies for cancer and other inflammatory conditions.

Representation of SPX Corp. (NYSE: SPXC), a global supplier of highly engineered products and technology, in its $189 million acquisition of CUES, Inc., a leading manufacturer of pipeline inspection and rehabilitation equipment, from ELXSI Corp.
