Linn Mayhew Partner

Linn is a highly respected finance lawyer with a wealth of deal experience and technical knowledge spanning a range of transactions and industry sectors. She has developed a reputation for her business acumen and impressive track record guiding clients through complex financing deals.

Linn focuses on international acquisition and leveraged finance transactions for private equity sponsors, alternative investment funds, banks and corporate clients. She advises borrowers and creditors at all levels of the capital structure and has experience in syndicated lending, TLBs, first and second lien financings, working capital lines, unitranche financings and subordinated instruments. Linn also advises on financings at fund level, including capital call facilities, NAV facilities and hybrids of those. She also advises on restructurings and general banking matters.

Prior to joining McGuireWoods, Linn was a senior finance lawyer at a global law firm and previously served as legal counsel to NatWest (formerly The Royal Bank of Scotland), supporting the bank’s leveraged finance business.


Advising Jindal Power & Steel Ltd on the restructuring of its AUD1 billion secured debt facilities pursuant to an Australian court sanctioned scheme of arrangement. ** Note this transaction won restructuring deal of the year at the Australasian Law Awards 2020.

Advising Sun European Partners LLP in connection with a CBIL facility for O&S Doors and a repricing of its existing facilities.

Advising Tikehau in connection with its PIK facility for a consortium of borrowers for the acquisition of Euroports.

Advising a leading private equity house in connection with its capital call facility for a newly established fund and arranged by Silicon Valley Bank.

Advising a leading secondaries fund in connection with its £1 billion capital call facility (and various incremental facilities) and arranged by a syndicate of banks.

Advising STG Partners on financing matters in connection with their acquisition of Visma Retail and Extenda, two prominent tier 1 and tier 2 retail industry businesses in the Nordics.

Advising Tikehau and Permira in connection with the unitranche financing, at bid stage, for the acquisition by a sponsor of Baltic Classifieds Group.
