Mark Staines focuses his practice on advising purchasers and sellers, both private and public companies, in all aspects of the acquisition, disposition, development and financing of energy and infrastructure projects throughout the United States.

Mark also advises on the structuring and negotiating of project development and offtake agreements, including power purchase agreements, fuel supply and transportation agreements, and related project development documentation. His regulatory compliance experience includes overseeing retail energy compliance on a statewide basis for a Fortune 500 energy utility, and regularly assisting one of the top four retail energy providers in the U.S. with compliance-related matters.

While in law school, Mark served as the staff editor of the Denver Law Review, and also received the Clarence L. Bartolic award, an honor given for the highest grade in the legal profession. In addition, Mark interned with the Honorable Robert L. McGahey Jr., U.S. Judge for the Second Judicial District Court of Colorado.

Experience

  • Representation of Rhythm, a Texas-based renewable energy provider, in the acquisition of 40,000 residential customers and 10,000 small and medium sized commercial customers in Texas from Entrust Energy Inc. and Power of Texas Holdings, Inc., two retail energy providers.
  • Representation of Centrica plc (LSE: CNA), a UK-based a leading energy services and solutions provider, in its sale of IO-Tahoe, an AI-driven data management business, to Hitachi Ventara LLC, and a data storage systems provide and subsidiary of Hitachi, Ltd.  
  • Representation as North Carolina counsel of BNP Paribas, a French international banking group, as primary lender and lead arranger to Cypress Creek Renewables, a national solar developer, for a tax equity buyout and refinancing of project-level debt for its 92 MW solar energy portfolio across North Carolina.
  • Regular counsel and advice to competitive electric and gas suppliers on retail supply regulations throughout the eastern part of the U.S., including drafting and negotiating power purchase agreements for both retail and wholesale supply.
