Menges Co-Authors Article About VBA Report on Third-Party Legal Opinions

Charles Menges, a McGuireWoods partner and a frequent lecturer and author on opinion practice, co-authored an article in the Fall 2018 edition of the VBA Journal on a long-awaited Virginia Bar Association report about third-party legal opinions in business transactions.

Menges was a member of the VBA’s Business Law Section Legal Opinions Committee, which, for the past eight years, researched and drafted the report. In the VBA Journal article, he and co-author Alison McKee, the committee co-chair, analyzed the origins of the new Virginia-specific report and what it offers practitioners.

The report, which is downloadable to VBA members through the organization’s website, “identifies and discusses the meanings generally ascribed to certain customarily used terms and phrases and encourages a common understanding of regularly stated assumptions, exceptions, qualifications, and limitations, and the due diligence employed for rendering of third-party legal opinions in business transactions in Virginia.”

Menges, who co-chairs McGuireWoods’ Opinions Committee, is a member of the board of directors of the Working Group on Legal Opinions Foundation, vice chair of the Attorneys’ Opinions Committee of the American College of Real Estate Lawyers and immediate past chair of the Committee on Legal Opinions in Real Estate Transactions of the ABA Section of Real Property, Probate, Trust and Estate Law.
