Clients look to Tim for his significant project finance, development and M&A experience. He is a leading advisor to owners, developers, sponsors, lenders, manufacturers and contractors in all facets of the development, financing, acquisition and disposition of energy and other infrastructure facilities.

His comprehensive projects experience includes advising clients in connection with renewable energy facilities, gas and coal fired power plants, and gas and water pipelines. Tim has closed deals in connection with wind farms, solar plants and other renewable facilities aggregating well over 15,000 MWs, including representing both lenders and sponsors in complex financings, as well as owners in the development, sale and purchase of such facilities.

In addition to his energy practice, Tim counsels clients in a variety of public-private partnerships, including water and wastewater facilities, municipal facilities, convention centers, and stadiums.

Prior to joining McGuireWoods, Tim served as the global chair of the Wind Energy Practice at another Am Law 100 law firm. He frequently speaks and writes on alternative energy.

Experience

Representation of clients in connection with projects related to power plants fired by gas, coal and petroleum coke, coal gasification plants (including IGCC and SNG projects), renewable energy facilities, gas and water pipelines, sports stadiums, water and wastewater plants, oil refineries, and pulp & paper mills. Advice includes structuring, negotiating, drafting and administering:

Project financings, including equipment, construction, permanent, acquisition and tax-equity financings;

Joint venture, equity and partnership arrangements, including co-development and joint development agreements;

Asset/stock sale & purchase agreements, as well as the associated term sheets and letters of intent;

Complex engineering, procurement and construction agreements (including EPC, BOP, DBOM & BOT structures), equipment sale and purchase agreements (including TSA, WMSA and “frame” agreements), and operation & maintenance agreements;

Power purchase agreements and other off-take arrangements, fuel supply and feedstock agreements, and tolling agreements; and

Other project documents, such as electric interconnection and transmission service agreements, real estate leases/easements, and licenses.

Advise clients in connection with the negotiation and documentation of complex privatization and public-private partnership arrangements, including those related to convention centers, sports stadiums, hotels, water and wastewater facilities, water pipelines, solid waste transfer stations, tourism venues, and other municipal facilities (including the structuring of tax-exempt municipal bond financing related to privatization).

Advise clients in the structuring and negotiation of outsourcing transactions relevant to the provision of electricity, steam, water, wastewater and other utility services, including energy management outsourcing arrangements.

Advises on Production Tax Credits, Investment Tax Credits, and Renewable Portfolio Standards and related programs.
