Johnny Mac focuses his practice on advising buyers, sellers and developers on mergers and acquisitions and corporate advisory matters. He has experience in the development, financing, acquisition and sale of renewable and conventional power facilities and natural gas projects throughout the United States.

Prior to commencing his legal career, Johnny Mac worked in corporate strategy and mergers and acquisitions for Dominion Energy (NYSE: D), where he supported more than $18B of transactions including a merger with SCANA Corp., numerous strategic divestitures and the development of renewable generation facilities.

Experience

  • Representation of Dominion Energy, Inc. (NYSE: D) in the pending sale of a 50% noncontrolling equity partner interest in its Coastal Virginia Offshore Wind project, an approximately 2,600MW offshore wind power generation facility under development, to Stonepeak for a purchase price of approximately $3 billion at closing with $11.3 billion in total committed capital.
  • Representation of NRG Energy, Inc. (NYSE: NRG) in the $1.75 billion sale of its 44% equity interest in the South Texas Project Electric Generating Station, a 2,645 MW nuclear power generation facility, to Constellation Energy Corporation (NASDAQ: CEG).
  • Representation of NiSource Inc. (NYSE: NI) in the $2.16 billion sale of a 19.9% minority equity interest in NIPSCO to an affiliate of Blackstone Infrastructure Partners.
  • Representation Peregrine Energy Solutions LLC in a capital raise and platform sale transaction with AB CarVal to raise over $700 million of equity and debt to fund Peregrine’s pipeline of over 7 gigawatts of energy storage and renewable energy generation facilities.
  • Representation Peregrine Energy Solutions LLC in the formation of a joint venture with IMM Investment Global for the development of multiple gigawatts of utility-scale energy storage assets.
  • Representation Peregrine Energy Solutions LLC in the acquisition of two development-stage energy storage assets in ERCOT with an anticipated capacity of 490MW from Black Mountain Energy Storage.
  • Representation of an interstate natural gas transmission and storage company in the divestiture of its retail gas business.
  • Representation of a privately held shipyard in the acquisition of a specialty mechanical and industrial contractor.
  • Representation of a non-profit entity in the purchase of a Virginia vineyard and winery.
  • Representation of a real estate developer in the establishment of a joint venture with a global venue management firm for the development of an arena-anchored, mixed-use eco-district.
  • Representation of a global institutional investment management firm in its subsidiaries’ sale of a 66 MW development-stage wind project in Nebraska to a subsidiary of a Canadian public electricity power generator and marketing company.
