CFIUS Counseling
McGuireWoods advises clients on Committee on Foreign Investment in the United States (CFIUS) issues, including counseling on the advisability of filing, the requirements in CFIUS regulations and significant developments relating to the committee’s resolution of its reviews. We help clients identify the risks that arise in the purchase, sale or reorganization of companies that may trigger CFIUS notice and approval requirements. The team has represented a number of clients that sought and secured CFIUS approval as sellers or buyers in a variety of industries.
Members of the McGuireWoods’ CFIUS counseling team also have experience in export controls, government contracts, FOCI mitigation and Treasury’s Outbound Investment Regulations, so they resolve many of the substantive issues that arise in connection with CFIUS proceedings. The group works closely with the firm’s Private Equity Transactions Practice Group and other corporate practice groups to structure transactions for success before CFIUS.
McGuireWoods’ CFIUS counseling practice includes a former U.S. Department of Justice assistant attorney general for national security who led DOJ’s CFIUS review process and maintains strong ties with senior officials at DOJ and the Department of the Treasury. The CFIUS team analyzes the national security equities in proposed transactions and advocates for clients before CFIUS.
