Halee concentrates her practice on bankruptcy, restructuring and workout matters, and regularly represents leading financial institutions and national banks in their capacity as administrative agents and lenders in syndicated facilities across a wide variety of industries, including healthcare, real estate, manufacturing, technology and agriculture.
Halee’s in-court experience includes representing debtors and other major stakeholders in large corporate chapter 11 bankruptcy proceedings, the acquisition of assets out of bankruptcy proceedings, receiverships and foreclosure actions. Her out-of-court experience includes lender workouts, debt-to-equity swaps and secured party sales.
Out-of-Court Restructuring Experience
- Represented administrative agent under $1200MM credit facility to defense contractor. Matter involved competing views about significant EBITDA addbacks and financial covenant compliance.
- Represented administrative agent under $75MM credit facility in connection with potential sale and/or wind-down of fitness franchise.
- Represented administrative agent for bank group in connection with $40MM floorplan lending facility to auto dealership.
- Counseled national healthcare portfolio company in a comprehensive out-of-court restructuring that included debt-to-equity swamps and the dissolution of certain entities.Counseled private equity sponsors in the restructuring, sale, and other strategic transactions involving distressed portfolio companies.
In-Court Experience
- Represented group of Farm Credit lending institutions holding significant positions in the three prepetition credit facilities in the MVK FarmCo LLC chapter 11 case in the U.S. Bankruptcy Court for the District of Delaware.
- Represented aircraft lessor in the Spirit Airlines chapter 11 case in the Southern District of New York.
- Counseled the indenture trustee for unsecured notes in a cross-border airline restructuring in the Southern District of New York, including cash management, plan treatment, and intercreditor matters.
