February 17, 2026

McGuireWoods continues the expansion of its nationally recognized private equity team with the arrival of Los Angeles partner Zachary Shub-Essig, who brings a wealth of experience advising corporate and private equity clients in strategic transactions.

Shub-Essig focuses on private equity matters, mergers and acquisitions, joint ventures, equity offerings and other complex corporate deals in a variety of industries, including the technology, healthcare and industrial sectors. His clients include investors, public and private corporations, emerging companies, private equity sponsors and operating partners. Shub-Essig also advises corporate directors, officers and other executives on issues including board governance, investor relations and employment matters. He comes to McGuireWoods from Sidley Austin.

“Zach’s skill in guiding clients through sophisticated deals in dynamic industries enhances our West Coast capabilities and our growing national practice,” said Richard W. Viola, deputy managing partner of McGuireWoods’ corporate practice. “His arrival furthers our commitment to expanding in key markets to deliver the highest level of service to our clients.”

McGuireWoods’ private equity lawyers advise institutional investors, independent sponsors, emerging managers, family offices, investment advisers, management teams and lenders. The firm represents funds and investors across the capital stack — from early-stage venture and growth capital to middle-market buyouts, control investments, mezzanine financing, junior capital and senior debt.

“Zach’s versatile skill set and deep understanding of clients’ strategic and financial objectives make him a perfect fit for our practice,” said Tom Zahn, chair of the Corporate & Private Equity Department.

McGuireWoods earned nationwide rankings for its M&A and private equity deal work in the Chambers USA and Legal 500 United States guides. In addition, the firm’s international Independent Sponsor and Emerging Manager programs distinguish McGuireWoods as the preeminent law firm for emerging private investment fund managers.

“McGuireWoods has a well-deserved reputation as an industry leader for cutting-edge deal work and innovative client service initiatives, and I am proud to be part of the firm’s strong and growing West Coast team,” Shub-Essig said.

Shub-Essig’s arrival follows the recent addition of Los Angeles partner Shahrooz Shahnavaz, who advises on tax issues associated with large, intricate corporate deals.

“Zach is an outstanding addition to the firm, bolstering one of our key practices in Los Angeles and nationally. We are delighted to welcome him,” said Alice Youngbar, managing partner of McGuireWoods’ Los Angeles office.
