Brian has extensive experience advising public and private companies in mergers and acquisitions, venture capital investments, securities offerings and corporate governance matters. He represents clients across a broad range of industries including manufacturing, retail, consumer packaged goods, finance and insurance.

Brian volunteers with Central Virginia Legal Aid’s Pro Bono Hotline program, and frequently lectures on mergers and acquisitions and venture capital at the Washington and Lee University.

  • Representation of 3D Systems Corp. (NYSE: DDD), a leader in additive manufacturing solutions, in its acquisition of Allevi, Inc., a developer of bioprinting solutions, comprising 3D bioprinters, biomaterials and specialized laboratory software.
  • Represented several public companies in multi-jurisdictional carve-out divestitures.
  • Represented a Fortune 200 CPG company in several investments and acquisitions across a broad spectrum of technologies and products.
  • Represented a public insurance company in multiple acquisitions of non-insurance businesses, including follow-on acquisitions and on-going corporate governance matters.
  • Represented both acquirors and targets in several financial institution M&A transactions.
  • Represented a Fortune 500 company in the disposition of its multinational media packaging division.
