Christian advises U.S. and non-U.S. issuers and financial institutions across a broad range of capital markets transactions, including initial public offerings and other equity offerings and high-yield, investment-grade and convertible debt offerings. In addition, he advises companies on corporate governance, stock exchange, disclosure and general corporate matters.

Christian also advises public companies in connection with their periodic reporting, proxy statements, FINRA, Regulation FD and insider trading matters. He has also represented issuers and financial institutions in connection with liability management transactions, including exchange offers, tender offers, consent solicitations, redemptions and repurchases and maintains a robust pro bono practice.

Prior to joining McGuireWoods, Christian worked in the New York City office of a large international law firm on a wide range of capital markets transactions.

Before law school, Christian taught high school social studies in Prince William County, Virginia.

  • Represented Titan Partners Group, a division of American Capital Partners, as sole bookrunner, in connection with a $30 million public offering of shares of common stock by Comstock Inc. (NYSE: LODE), a leading innovator in renewable energy and resource recovery technologies.
  • Represented Titan Partners Group, a division of American Capital Partners, as sales agent, in connection with the establishment of a $15 million ATM program by SurgePays, Inc. (Nasdaq: SURG), a telecommunications and financial technology company focused on delivering wireless connectivity and point-of-sale solutions to underserved and value-conscious communities across the United States.
  • Represented Titan Partners Group, a division of American Capital Partners, as sole placement agent, in connection with a $15 million public offering of subordinate voting shares and pre-funded warrants by Digi Power X Inc. (Nasdaq: DGXX), a vertically integrated AI and digital infrastructure company.
  • Represented a major energy company in connection with the establishment of its $2 billion ATM program, involving a forward sale component.
  • Represented a clinical-stage biopharmaceutical company in connection with its $150 million public offering of ordinary shares and its $184 million initial public offering of ordinary shares.
  • Represented the underwriters in connection with a $80 million public offering of shares of common stock and pre-funded warrants for a clinical-stage biopharmaceutical company.
  • Represented a global fintech company in connection with its $94 million public offering of ordinary shares and its direct listing on Nasdaq.
  • Represented the underwriter in connection with a $297 million primary variable price re-offer block-trade offering of shares of common stock by a major energy company.

  • Represented Ecolab Inc. (NYSE: ECL), a leading water treatment company, in connection with its $500 million notes offering.
  • Represented 3D Systems Corporation (NYSE: DDD), a leader in additive manufacturing solutions, in connection with its $92 million convertible secured high-yield notes offering.
  • Represented a major telecommunications company in connection with its €1.8 billion and £750 million notes offering and its $3.25 billion notes offering.
  • Represented the underwriters in connection with a major insurance company’s $500 million debut notes offering.
  • Represented the initial purchasers in connection with a major real estate development company’s $575 million debut convertible notes offering.
  • Represented the dealers in connection with numerous offerings and ongoing diligence pursuant to a major financial institution’s medium term notes program.
  • Represented the initial purchasers in connection with a major transportation company’s $585 million high-yield notes offering to finance an acquisition of various assets out of a section 363 bankruptcy auction.
