Nicole focuses her practice on securities and other corporate matters.
Nicole has experience representing public and private companies, including financial institutions, energy companies, consumer products companies and manufacturers, in capital markets transactions and other general corporate matters. She also advises public companies in connection with their periodic and annual reporting requirements, proxy statements and board and committee matters. She has represented financial institutions and other public company issuers in connection with tender offers, redemptions, repurchases and exchanges.

- Representation of public companies in the energy, financial services, consumer products, manufacturing, biopharmaceutical and other industries in connection with the preparation and filing of current and periodic reports and annual meeting proxy statements and in other governance and securities matters.
- Representation of a NYSE-listed financial institution in connection with public offerings of senior and subordinated notes.
- Representation of a NYSE-listed financial institution in connection with a tender offer for preferred stock.
- Representation of a NYSE-listed packaging solutions provider in Rule 144A/Reg. S high-yield debt offerings totaling $825 million and related tender offers.
- Representation of a NASDAQ-listed purchaser and collector of nonperforming loans in Rule 144A/Reg. S high-yield debt offerings totaling $550 million.
- Representation of a NYSE-listed specialty insurance company in connection with a $600 million registered offering of senior notes.
- Representation of a NYSE-listed energy company in connection with the establishment of a $900 million “at-the-market” common stock offering program.
- Representation of a NYSE-listed energy company in connection with a $650 million registered offering of senior notes.
- Representation of a NYSE-listed energy company in connection with common stock forward-sale transactions totaling over $800 million.
