McGuireWoods Charlotte partners Bart Walker and LauraLee Lawley and associate Natalie Galdos authored an article for the April 2023 edition of Dentistry Today providing an overview of the factors physician and dental practices should consider when selling or partnering with private equity investors.
The article, “How to Sell or Partner With Private Equity,” covers key considerations such as valuation, deal structure, purchase agreements, employment agreements, fees, compensation models, risk allocation, and a proposed Federal Trade Commission rule that would ban many noncompete agreements between employers and workers.
“We live in a time of great change with respect to valuations of health care provider transactions. There is a growing gulf between buyer and seller expectations of overall valuation and purchase price,” the authors wrote.
Walker, Lawley and Galdos are members of the firm’s Healthcare Department. Walker co-chairs the firm’s healthcare and life sciences industry team.
