Caitlin represents purchasers, sellers, project developers, financiers, utilities and other energy companies in a wide range of transactions and regulatory matters across the energy industry. Her practice spans project development, mergers and acquisitions, joint ventures, and financings, with experience structuring and negotiating offtake agreements, including power purchase agreements, as well as related project development documentation.

Before entering private practice, Caitlin worked in the in-house legal department of an education non-profit, where she gained early experience navigating organizational governance and compliance matters. While in law school, Caitlin was co-chair of the Law and Religion Writing program, served as a student-attorney in the Juvenile Rights Advocacy Program, and was active in community service as the chair of her school’s committee and as a mentor with Big Brothers Big Sisters.

  •  Representation of Constellation in negotiating a 20-year power purchase agreement with Meta for the output of the Clinton Clean Energy Center in Illinois.
  • Representation Peregrine Energy Solutions LLC in a capital raise and platform sale transaction with AB CarVal to raise over $700 million of equity and debt to fund Peregrine’s pipeline of over 7 gigawatts of energy storage and renewable energy generation facilities.
  • Representation of a subsidiary of Castleton Commodities International LLC,  global energy commodity merchant, in the acquisition of Hunlock Creek Energy Center, a 169 MW natural-gas fried power plant in Luzerne County, PA, from UGI Energy Services LLC, a subsidiary of a natural gas and electric power distribution company headquartered in King of Prussia, PA.
  • Representation of an integrated multi-technology clean energy platform with a focus on utility scale energy storage in the acquisition and redevelopment of an 80 MW operating wind asset in northern Iowa.
  • Representation of a nationwide portfolio of renewable energy and battery storage projects in its sale of five wind farms to a Texas-based growth oriented, independent oil producer and a portfolio company of a Boston-based private equity firm.
  • Representation of an integrated multi-technology clean energy platform with a focus on utility scale energy storage in the acquisition and redevelopment of an 80 MW operating wind asset in northern Iowa.
  • Representation of a Southwestern utility in connection with the negotiation of load reservation, transmission and supply documents for data center projects.
  • Representation of a Midwestern utility in connection with the negotiation of load reservation and supply documentation for data center projects.

Retail Supply Regulation and Related Transactions

  • Representation of EDF Energy Services, LLC, a leading supplier of power, natural gas and related services to C&I customers across the U.S., in its sale to bp North America, a North American natural gas marketer.
  • Representation of ENGIE Retail, LLC d/b/a Think Energy, one of the top commercial electricity providers in the nation, in its sale to Energywell, an energy technology company powering the sustainable energy transition.
  • Representation of a national provider of home warranty service contracts to real estate providers in its sale of assets to a technology first home warranty provider.
  • Representation of a leading energy services and solutions provider in the sale of its U.S. demand response division to a leading national energy solutions provider.
  • Representation of one of the top commercial electricity providers in the nation in its sale to an energy technology company powering the sustainable energy transition.
  • Regular counsel and advice to competitive electric and gas suppliers on retail supply regulations throughout the eastern part of the U.S, including drafting and negotiating power purchase agreements for both retail and wholesale supply.
  • Regularly advise and structure ancillary service offerings for retail energy companies to market and sell to residential, commercial and industrial customers.
  • Regulatory compliance and monitoring, including assistance with licensing, consumer protection, unfair and deceptive trade practices compliance, billing and contracting requirements, customer disclosure issues, anti-slamming and anti-cramming procedures.
