Michelle’s practice focuses on energy transactions, including power purchase agreements at both the wholesale and retail levels, construction and trading documents involving nuclear, wind, solar, hydro, and battery storage facilities. Michelle also has experience in project finance on both the sponsor and lender sides. She advises purchasers, sellers, and other parties on complex M&A matters.

While in law school, Michelle served as a notes and comments editor for the Maryland Law Review and treasurer of the Student Bar Association. Michelle also acted as co-captain of the National Trial Team and won Best Advocate at the National Medical-Legal Mock Trial Competition. Michelle interned at the U.S. District Court for the District of Maryland for the Honorable Paul W. Grimm (ret.). Upon graduation, Michelle was inducted into the Order of Barristers which honors graduates that show exceptional skill in oral and written advocacy.

  • Representation of a subsidiary of Castleton Commodities International LLC,  global energy commodity merchant, in the acquisition of Hunlock Creek Energy Center, a 169 MW natural-gas fired power plant in Luzerne County, PA, from UGI Energy Services LLC, a subsidiary of a natural gas and electric power distribution company headquartered in King of Prussia, PA.
  • Representation of Constellation in negotiation of 20-year power purchase agreement with Meta for the output of the Clinton Clean Energy Center in Illinois.
  • Representation of subsidiary of Chevron U.S.A. Inc. in negotiation of 20-year power purchase agreement with Microsoft for the output and development of a co-located natural gas and data center facility in West Texas.
  • Representation of Peregrine Energy Solutions LLC in $317 million dollar financing for the construction of a battery energy storage project.
  • Representation of Sol Systems in its $345 million financing of the historic Tilden Solar project, a 182-megawatt solar facility in Randolph County, Illinois.
  • Representation of a Midwestern utility in connection with the negotiation of power purchase agreements, load reservation and supply documentation for data center projects.
  • Regular counsel and advice to competitive electric and gas suppliers on retail supply regulations throughout the eastern part of the U.S, including drafting and negotiating power purchase agreements for both retail and wholesale supply.
  • Regularly advise and structure ancillary service offerings for retail energy companies to market and sell to residential, commercial and industrial customers.
  • Regulatory compliance and monitoring, including assistance with licensing, consumer protection, unfair and deceptive trade practices compliance, billing and contracting requirements, customer disclosure issues, anti-slamming and anti-cramming procedures.
