Karl Hemingway Associate

Karl is a corporate lawyer whose practice focuses on UK and international M&A, corporate finance, private equity, corporate governance and equity capital markets with a particular emphasis on AIM listings.

His experience covers a range of industries, including life sciences, telecommunications, retail, energy and natural resources, in respect of which he has acted for a variety of clients including start-ups, SMEs and blue chip companies. Karl has worked on transactions in the UK, Western Europe, the US, South Africa and India.

Additional areas of experience include advising on manufacturing and distribution agreements, agency contracts, licence agreements, reseller and introducer agreements, sale and purchase terms and conditions as well as a range of other commercial contracts.


Acted for an international company operating in the mobile services sector on its acquisition of a South African business operating in the e-payment sector for £10m.

Acted for an international telecommunications company on its IPO on AIM.

Advised a venture capital company on its equity and debt investments worth £24m.

Advised and acted for the shareholders of a target company in the media sector in a business sale worth £15m.

Advised an international company in relation to its inter-group relationship and restructure.

Advised a number of start-up companies and SME’s in regards to constitutional documentation, shareholder agreements, EMI share option schemes and unapproved option schemes, website terms and conditions, supply of services agreements, NDAs, introducer agreements, license agreements and other commercial contracts.

Acted for an international mobile telephone services company on its group restructuring.

Acted for one of Europe’s leading venture capital companies on its disposal of a number of equity investments.

Acted for one of the world’s leading bloodstock companies in its acquisition of the entire issued share capital of an insurance company and rival bloodstock auction business. The later acquisition involved seeking authorization from the Competition and Markets Authority.
