Andrew concentrates his practice on employee benefits and executive compensation matters in the context of private equity transactions, strategic mergers and acquisitions, recapitalizations, reorganizations, financing transactions, and ongoing company operations. He has extensive experience designing and implementing equity-based incentives, phantom equity incentives, cash-based incentives, deferred compensation plans, as well as employment, retention, and severance agreements. In addition, he regularly advises clients on matters involving Code Section 409A and Code Section 280G.
